Evernorth moved closer to a Nasdaq debut after the SEC made its registration statement effective, with a Sept. 30 shareholder vote now the next hurdle for its XRP (XRP) treasury plan.

Evernorth Nasdaq Vote
Evernorth said Aug. 27 that the U.S. Securities and Exchange Commission had declared the registration statement for its proposed combination with Armada Acquisition Corp. II effective. The transaction has not closed.
Armada II shareholders are scheduled to vote on the business combination Sept. 30, and closing will still depend on that approval and other customary conditions. If completed, the combined company is expected to trade on Nasdaq under the ticker XRPN. Nasdaq approval would still be required.
The process became public in March, when Evernorth filed its Form S-4 for the planned transaction with the special purpose acquisition company sponsored by Arrington Capital. Evernorth said it had raised more than $1 billion in gross proceeds from investors including Ripple, SBI Holdings, Pantera Capital and Kraken, alongside Arrington Capital. That financing predates the SEC effectiveness.

XRP Treasury Impact
Evernorth CEO Asheesh Birla said the company expects more institutional finance to move on-chain as blockchain utility expands. “Evernorth is designed to accelerate XRP’s role in that work,” he said.
The SEC milestone removes a significant registration hurdle, but it does not amount to final approval of the merger or the Nasdaq listing. The shareholder vote remains decisive.
Evernorth's model also differs from an XRP-focused fund because investors would gain exposure through shares in a public company that holds and actively manages XRP.
That structure ties the investment case to both the token and management of the corporate treasury.
XRP traded just above $1.40 when the report was published, up almost 10% over one week and nearly 32% over 30 days. That recent rebound gives Evernorth's proposed listing a stronger market backdrop than earlier in the month, while future treasury demand still depends on the transaction closing. The deal is still pending.
