Ripple-backed Evernorth filed a prospectus for up to 11.5 million new shares tied to public warrants, a possible $132.2 million funding path as it seeks more XRP (XRP).
Key Points:
- Evernorth's Oct. 19 prospectus covers up to 11,499,992 Class A shares that warrant holders can buy at $11.50 each.
- Full cash exercise would bring in about $132.2 million, which the company plans to use for general corporate purposes.
- The filing doesn't earmark that cash for XRP, though Evernorth's broader strategy calls for raising capital to buy more tokens.
Evernorth Prospectus Details
The prospectus, dated Oct. 19, was filed with the U.S. Securities and Exchange Commission and covers up to 11,499,992 Class A shares.
Each public warrant lets its holder buy one share for $11.50, and Evernorth would collect the full $132.2 million only if every covered warrant is exercised for cash. Readings of the document show the figure refers to company stock, not XRP tokens, and that no issuance has been completed.
XRPN shares closed at $15.45 on Oct. 16, while the warrants ended at $4.16, leaving the exercise price well below the market. That gap could make cash exercise attractive, an angle early coverage highlighted, but the final share count depends on what holders decide.
Evernorth expects to use any net proceeds for general corporate purposes, and the prospectus doesn't commit the money to XRP. Its shares and warrants have traded on Nasdaq under XRPN and XRPNW since Oct. 12. The potential new stock compares with about 23.6 million Class A shares outstanding as of Oct. 9.

XRP Treasury Strategy
The XRP angle comes from Evernorth's wider playbook, not from this filing. The company says it intends to raise capital through various structures and buy XRP with the proceeds, an opportunity it generally expects when its stock trades at a premium to the value of its holdings.
Dilution is the trade-off.
Evernorth treats XRP per share as its main performance measure, and new warrant shares would raise the share count without adding any tokens on their own. Founder and CEO Asheesh Birla said last week the company is "putting our treasury to work," describing that approach as the way to grow XRP per share over time. Still, the filing confirms no fresh purchases, so any buying hinges on later decisions by management.
XRP has swung hard over the past year, trading between roughly $0.98 and $3.10 in the 12 months to Oct. 7, according to the filing. On Tuesday the token fell 1.4% to about $1.30, below the $1.43069 reference price used to value XRP contributed in Evernorth's merger.
